Delphi Agreement to Acquire Hermann's Taitong

Delphi has reached an agreement with Hellman Taitong Group Co., Ltd. on the proposed quotation, and plans to acquire the company at 480 pence/share. At today's exchange rate, the equivalent of 1.07 billion pounds of investment, the market value of 1.85 billion U.S. dollars. Hellmann Taitong is a global leader in high-performance, innovative cable management solutions.

The transaction has been approved by the board of directors of Helmann Telecom and is expected to be completed in the fourth quarter of 2015. It is still subject to the approval of the regulatory agency and the approval of shareholders of Helmet. Upon completion of the transaction, Telepath will become part of the Delphi Electronics/Electrical Architecture Division.

It is understood that this acquisition will expand Delphi's product portfolio in the connected vehicle solution market and seize the general trend of connected vehicles. In addition, it will also consolidate Delphi’s lead in the electrical architecture market while providing a platform for Delphi’s growth in adjacent industrial end markets, including aerospace, defense, alternative energy, and public transportation.
